Corporate Governance
The company have has developed the facility and has a Licence Agreement with Tiglin to manage the facility. Tiglin, Kildare Co. Council and Homeless Care CLG share the same commitment that the facility is for accommodation and training of young homeless adults for reintegration into the community.
The Board of Directors is comprised of five highly experienced and respected individuals who possess considerable senior managerial experience, and all of whom actively participate at board level in both commercial and not for profit organisations.

Governance Policy
To comply with good practice and meet Housing Agency requirements the Board of Directors meet at least four times per annum and hold an Annual General Meeting.
Board members are not remunerated and are not entitled to benefit financially from any activities of The Company.
The proceedings of scheduled Board Meetings and the Annual General Meeting are recorded by way of minutes.
Oversight of Company activities is carried out by the Board so executive meetings are convened as and when required with participation by relevant Board members and external parties.
Administration support is provided by suitably experienced volunteers and/or by the offices of the Auditors.
The Company has written guidance, procedures & policies in place for; (1) Board Membership, (2) Board Membership Guidelines, (3) Board Membership Accountability & Code of Conduct, (4) Conflicts of Interest and (5) Governance Requirements.
Company Law
The Company’s Financial Statements are subject to Audit. No adverse or modified audit opinions have been reported by the independent Auditor for any year.
Company Law compliance in relation to approval of annual financial statement, and related matters, and filings in the Companies Registration Office is carried out by adherence to a formal approvals process.

Padraig McManus
Director
Padraig McManus is an Electrical Engineer (BE UCD 1973) who was CEO of ESB for 10 years, Chairman of Eir for 5 years and was a Council member and then President and Chairman of The Economic and Social Research Institute (ESRI) during the period from 2012 to 2020. He is currently Chairman of the Curragh Racecourse Company and K Leisure and is a Board member of Bhsl Ltd. Greenlink Interconnector Ltd. and Echelon DC Holdings Ltd. He is a Global Counsellor of the Conference Board of the US.
He has worked in Germany, Saudi Arabia and Ghana and has been involved in the building of Schools and Clinics in Gnana since 2008. He was the inaugural Chairman of the Foundation for The National Maternity Hospital in Holles St.
He is an enthusiastic supporter of the Naas GAA Club and the Lilywhites and chairs the committee charged with the redevelopment of St. Conleth’s GAA Grounds in Newbridge. He is an occasional cyclist, walker and golfer.

Tim O’Connell
Director
Tim O’Connell is a native of Cahirciveen ,County Kerry . He spent his entire career in the insurance industry and much of this was spent with FBD as an underwriter and Branch Manager in Naas . In addition to his executive duties Tim was a trustee of the FBD Pension Fund for ten years .
He was a founding member of Naas Chamber of Commerce and chaired and organised several fundraising events over twenty years as a member of Naas Lion’s Club . He has been a volunteer for the Irish Cancer Society for the last nine years .
Tim enjoys all sports especially GAA and golf . He is President of Naas Golf Club and a former Secretary . Despite living in Kildare for over forty years he remains an ardent Kerry supporter!
Tim joined the Board of Homeless Care in 2016 and is a highly committed member of the team.

Clive Brownlee
Director
Clive Brownlee B.Comm ,FCMA worked with Guinness and Diageo for over forty years . He was managing director of Guinness in Dublin and worked in the UK and Nigeria where he ran the operation there for three years . He was President of the Dublin Chamber of Commerce and of CIMA Ireland. He is a former Chairman of the board of the Coombe Hospital and Headway Ireland ( acquired brain injury trust ) and a former member of the Board of Trustees of the Iveagh Trust and is currently a member of Naas Lion’s Club. After his executive career Clive worked as a senior executive coach. He is a non executive director of Sisk and Chairman of the Board of the Dublin Business Innovation Centre .
Like other members of the Board Clive has a keen interest in all sports. On the administrative side he has been President of Naas Hockey Club and Chairman and Treasurer of Naas Golf Club .

John Cradock
Director & Company Secretary
John is a qualified engineer ( BE,UCG) . He has worked in the construction industry throughout his career ,firstly with John Sisk in Ireland and Africa , then in a joint venture company created by himself and a partner before setting up his own company in 1987. John Cradock Ltd is one of Ireland’s leading civil engineering companies, based in Kilcullen County Kildare , which has been involved in more than 350 projects over more than 30 years .
John is a former Chairman/President of the Civil Engineering Contractors Association and is currently a trustee of the Construction Industry Federation .
John is a keen sportsman. In his younger days in his native Galway he was a successful Swimmer, Gaelic Footballer and a Collingwood Cup Medal winner with the UCG Soccer Team. He is now an enthusiastic golfer and is a former captain of Naas Golf Club.
John has been involved in charitable activities over many years and was instrumental in setting up and developing Homeless Care and is the first Chair of its Board .

Gerry Prendergast
Director & Company Secretary
Gerry has had a wide career in the construction and development industries . He was a senior executive with Ascon for many years leading many high profile projects . He has been at the centre of the development of Millennium Park including the design ,development and implementation of the business park’s infrastructure attracting many new clients including the Kerry Group . He has also developed a number of high quality residential schemes in the Naas area .
Gerry is always keen to learn and develop and holds an MSc in organisational behaviour, a diploma in corporate governance and a diploma in executive coaching .
He has been at the centre of the development of two of Naas’s leading sports clubs . He has helped to bring Naas RFC to senior status and is a former Treasurer of the Club . He has been a leader in the development of youth and team golf in Naas GC as well as the golf course itself and he was also Captain of the Club and manager of All Ireland Final teams .
In other community work Gerry was heavily involved in the refurbishment of Caragh Church.
